Agent for Service of Process

There are many common elements in an articles of organization, which is a key element in establishing the business entity.

Every state requires that the business owner name a resident of that state (an individual or an entity) as an agent for service of process. The agent is named in the articles of organization.

In addition, an entity that registers to do business in another state also must name a resident agent in its foreign registration certificate.

The agent serves as the company's point person in legal matters regarding the state. Having a representative of your company physically located in the state allows the state to seal its jurisdiction over your business and its operations (see our more detailed discussion of hiring an agent for service of process).
